Arena Challenge Code of Conduct & Terms and Conditions
Welcome to the Terms and Conditions governing your participation in the Arena Challenges. These Terms and Conditions are established by Sentient Labs Pte. Ltd. (202410034D), a company registered in Singapore, which is responsible for organizing and hosting the Arena Challenges, which include virtual and associated in-person events and Cohort applications and programming (the “Challenge”). By participating in these events, you, as a Participant (which includes challengers, hackers, speakers, and attendees of all in-person events) agree to adhere to these Terms and Conditions. This document outlines the expectations and responsibilities of all Participants to ensure a respectful, safe, and productive experience for everyone involved.
Arena Code of Conduct
All Participants must show respect and courtesy to others and comply with this Code of Conduct. Organizers will enforce this code throughout the Challenges.
Harassment is prohibited. This includes, without limitation, offensive comments, hacks, or online activity related to gender, sexual orientation, disability, age, socioeconomic status, ethnicity, appearance, race, religion, sexual images, intimidation, stalking, inappropriate physical contact, and unwelcome sexual attention.
Participants must immediately stop any harassing behavior when asked. Failure to comply will result in removal from the event and a permanent ban from all future Challenges.
Report any Code of Conduct violations immediately to a Challenge organizer or via email to **[email protected].** All reports may be made anonymously.
Challenge Terms & Conditions
- Consent to Terms and Conditions. By registering for and participating in the Challenges and related in-person events, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you are under eighteen (18) years of age, you must obtain written consent from Sentient to participate and written consent from your parent or legal guardian prior to participating, and a signed parental consent agreement must be submitted separately before you attend the Challenge or any related events.
- Participation at Your Own Risk. You assume full responsibility for any damage or injury caused by you in your participation in The Challenge (whether to persons or property, and whether to yourself or others) and release Sentient, The Challenge, all partners of The Challenge, The Challenge volunteers, The Challenge staff, guests of The Challenge and all other participants in The Challenge (collectively, the “Releasees”) from any liability therefore. YOU ARE AWARE THAT YOUR PARTICIPATION IN THE CHALLENGE IS SOLELY AT YOUR OWN RISK, AND THAT THE RELEASE HEREIN IS INTENDED TO REFLECT THAT UNDERSTANDING.
- Intellectual Property. You retain ownership of developments you create during The Challenge, subject to the licenses granted herein. By participating, you grant Sentient and its affiliates, partners, and sponsors a non-exclusive, perpetual, irrevocable, worldwide, royalty-free, fully sublicensable and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly display, and publicly perform all code, data, information, submissions, and materials you provide or generate during The Challenge (collectively, "Code and Traces") for any purpose whatsoever, including research, development, model training, product improvement, marketing, and commercial use, without any obligation of confidentiality, attribution, or compensation to you. You irrevocably waive any moral rights you may have in the Code and Traces to the fullest extent permitted by law. You represent and warrant that: (i) you have all necessary rights to grant the above license; (ii) the Code and Traces do not and will not infringe, misappropriate, or violate any intellectual property or proprietary rights of any third-party; (iii) The Challenge requires submission of all Code and Traces, and Sentient has the unrestricted right to collect, store, analyze, and use them in perpetuity; (iv) any Third Party Materials you access remain the property of their owners, and you are solely responsible for compliance with all applicable licenses and terms; and (v) any APIs or software from Challenge partners are subject to their respective terms. You acknowledge that Sentient may develop or acquire materials similar to or competing with your Code and Traces, and you waive any claims arising from such similarity. By participating, you consent to this collection and use and waive any related claims against the Releasees.
- Media Rights and Recording Consent. By participating in the Arena Challenge and related in-person events, you acknowledge and consent to being photographed, videotaped, and audio recorded by the Organizers and their partners. You grant the Organizers an unrestricted, perpetual, and worldwide right to use your likeness, image, voice, opinions, and any images of your projects or materials for promotional purposes across all media formats, whether now existing or developed in the future. You waive all moral rights, relinquish any right to review or approve such materials, and acknowledge that the Organizers own all copyright interests in any materials containing your image. You also release the Organizers from any liability arising from alterations, distortions, or any use of your image, including claims for libel or invasion of privacy.
- Opt-Out and Limitations. While Sentient respects attendee privacy and offers an opt-out option through a form available on-site at in-person events, the Organizers cannot control or take responsibility for photographs, videos, or audio recordings made by other participants. This grant of rights includes the ability to edit, use alone or with other information, and permit third-parties to use or distribute the recorded media in perpetuity without further approval or payment to you.
- Data Sharing. You agree that in some cases the Organizers may share your registration details, LinkedIn/Github profiles, details of your Challenge submission, and other information obtained from you in the course of, or relating to, The Challenge with the partners of The Challenge, and acknowledge that such partners of The Challenge may contact you during and after The Challenge. By agreeing to this document and/or participating in The Challenge, you are providing your express consent to communications by the Organizers and partners (including e-mail communications, both marketing and informational) respecting the products and services of the Organizers and partners, and future Challenges.
- Release and Assumption of Risk. Release and Assumption of Risk. For valuable consideration, including permission to participate in The Challenge, you, on behalf of yourself, your heirs, executors, administrators, legal representatives, assigns, and successors in interest (collectively, "Releasing Parties"), hereby: (i) Release and Covenant Not to Sue. You knowingly, voluntarily, and irrevocably release, waive, discharge, and covenant not to sue the Releasees from and against any and all liability, claims, demands, actions, and causes of action whatsoever, directly or indirectly arising out of or related to any loss, damage, injury, or death, that may be sustained by you or any property belonging to you, whether caused by the negligence, gross negligence, or other fault of the Releasees, or otherwise, while participating in The Challenge, or while on any premises owned or controlled by the Releasees, or in transit to or from The Challenge, INCLUDING BUT NOT LIMITED TO claims related to illness (including communicable diseases), personal injury, equipment failure, inadequate safety measures, or any condition of facilities or equipment; (ii) Assume All Risks. You acknowledge that participation in The Challenge involves inherent risks including but not limited to: physical injury, illness (including exposure to communicable diseases such as COVID-19), emotional distress, property damage or loss, equipment malfunction, and other risks both known and unknown. You voluntarily assume full responsibility for any and all such risks and all resulting liability, damages, and expenses; (iii) Insurance. You acknowledge that the Releasees do not provide any insurance coverage for your benefit and that you are solely responsible for obtaining your own health, travel, property, and any other insurance coverage you deem necessary. THIS RELEASE EXTENDS TO CLAIMS OF EVERY KIND AND NATURE WHATSOEVER, KNOWN OR UNKNOWN, FORESEEN OR UNFORESEEN, AND YOU EXPRESSLY WAIVE THE BENEFITS OF ANY STATUTE OR PRINCIPLE OF COMMON LAW THAT WOULD OTHERWISE LIMIT THIS RELEASE TO ONLY THOSE CLAIMS KNOWN AT THE TIME OF SIGNING.
- Key Challenge Dates. Participants will submit applications to be part of Cohorts which will be selected to participate in Challenges. By getting accepted into a Cohort, you get access to the Arena platform and all associated Challenges on it, whenever they occur. Important dates for the Cohorts/Challenges will be posted on the https://arena.sentient.xyz/ website (“Arena Website”) and it is the responsibility of each Participant to stay up to date on all updates and important information, including dates and deadlines.
- Participation Requirements. To be eligible to participate in the Cohorts and Challenges, participants must: (i) Be 18 years or older; (ii) Use their own equipment, such as a laptop, in order to register and participate in the Cohorts and Challenges. Participants will be responsible for their own equipment throughout the event. (iii) Allow the Sentient and Arena Team and Sponsors access to any materials that are created as part of their entry for the purpose of evaluation by the judges and other required personnel. By registering for the Cohorts and Challenges, participants confirm they are eligible to do so. If they don’t meet the criteria, they may be disqualified or forfeit any prize(s).
- Eligibility. The following persons are not eligible to participate: (i) individuals residing in countries subject to U.S., Singapore, or EU sanctions or embargoes; (ii) individuals prohibited from participating by applicable law; and (iII) individuals who have been previously disqualified or banned from any Sentient event.
- Registration. (i) Registration and participation in the Challenge is free of charge. (ii) Participants can register as individuals or as teams and teams can include up to four (4) people; (iii) Participants can submit applications to the Challenge at https://arena.sentient.xyz/; (iv) Participant acknowledges that there are a limited number of spaces available for the Challenge and Challenge acceptance is not guaranteed. Participants acknowledge that an application for submission does not guarantee eligibility or entry into the Challenge; (v) Admittance to the Challenge is non-transferable; and (vi) Participants who have secured a space in the Challenge will be notified. Should the Participant fail to respond after the Arena Team has made a reasonable number of attempts to contact the Participant, the Arena Team may select another Participant.
- Participant Representations and Warranties. You represent and warrant that: (i) you have full legal capacity to enter into these Terms and Conditions; (ii) if participating on behalf of an entity, you have authority to bind that entity; (iii) all information you provide is accurate, current, and complete; (iv) you will comply with all applicable laws, regulations, and these Terms and Conditions; (v) you have not and will not engage in any fraudulent, deceptive, or manipulative conduct; (vi) your participation will not violate any agreement or obligation you have with any third party; and (vii) you have obtained all necessary consents, permissions, and releases from any individuals whose personal information or likeness you include in your submission.
